Why Grindr Is Paying US$250M for Calgary PrEP Clinic Freddie

Freddie started in Calgary in 2020 as an online clinic for HIV prevention. Six years on, a dating app is buying it. Grindr agreed on Sept. 30 to acquire PurposeMed, Freddie’s parent company, for US$250 million (about CA$348 million), split between US$190 million in cash and US$60 million in Grindr stock, according to its 8-K filing. Up to US$70 million (about CA$97 million) more in cash depends on Freddie hitting financial targets for 2027.

The buyer on paper is a Canadian subsidiary, 18273618 Canada Inc., and the sellers are represented by PurposeMed co-founder Dr. Husein Moloo. Grindr expects to close in the fourth quarter, and either side can walk away if the deal hasn’t closed by Dec. 30, 2026, the filing says. Investors were unconvinced on day one: Grindr shares fell about 8% to US$14.17 (about CA$19.70) on Oct. 1, TheStreet reported.

What Grindr gets for US$250 million

Freddie prescribes PrEP, the daily medication that prevents HIV, along with testing and pharmacy support. It has served more than 55,000 patients across all 50 U.S. states, Washington, D.C., and five provinces: Ontario, British Columbia, Alberta, Manitoba and Saskatchewan, Grindr’s announcement says. It expanded into the U.S. in 2024, BetaKit reported, and its backers include BDC Capital, Panache Ventures and the True North Fund.

Grindr projects Freddie’s 2026 revenue at more than US$80 million (about CA$111 million) and adjusted EBITDA above US$10 million. Taking those projections at face value, the base price works out to roughly three times this year’s revenue and about 25 times adjusted EBITDA.

Grindr isn’t buying all of PurposeMed. Its sister brands Frida and Foria will split off as independent companies, while Grindr takes Freddie and PurposeMed’s gender-affirming pharmacy services, according to BetaKit.

“We built Freddie to make HIV prevention simple and accessible for everyone who needs it,” Moloo said in the release. “Today we estimate Freddie prevents a new HIV transmission across the US and Canada every day.” That figure is the company’s own estimate.

Why a dating app wants a PrEP clinic

The pitch is distribution. Grindr says it has nearly 16 million average monthly active users, per its investor site, and that only about 650,000 Americans use PrEP while an estimated 2.2 million could benefit, according to the release.

“The challenge is connecting people to PrEP and helping them stay on it,” chief executive George Arison said. “Grindr has a direct line to millions of gay men, and Freddie brings the medical expertise to turn that reach into care.”

Freddie will be combined with Woodwork, Grindr’s existing “sexual wellness and performance medication” service, into a division called Grindr Health, HLTH reported. The stated goal is to connect 10 million LGBTQ+ people globally to HIV prevention through the app by 2028. Arison believes the health business could eventually rival or outgrow dating, TheStreet reported.

Our read: telehealth companies live or die on what it costs to find each new patient. Grindr already has the audience that a standalone clinic would otherwise pay to reach, and that audience opens the app every day.

The privacy record Grindr brings to health care

That same audience is why the deal will be judged on data handling. In 2018, researchers at Norway’s SINTEF found that Grindr had shared users’ HIV status and last test dates with two analytics firms, Localytics and Apptimize, The Register reported when a U.K. law firm filed a High Court claim over it in 2024. Grindr said then that it was “committed to protecting our users’ data and complying with all applicable data privacy regulations.”

Separately, Norway’s data protection authority fined Grindr NOK 65 million (about US$6 million) in 2021 for sharing data with advertisers without valid consent. An Oslo court upheld the fine in July 2024, The Local reported, and the Borgarting Court of Appeal upheld it again on Oct. 21, 2025, according to Digital Policy Alert.

Freddie’s patient records come with their own rules. In Ontario, the Personal Health Information Protection Act “applies to all health information custodians, whether they provide care in-person or virtually,” as law firm Fasken summarized the province’s privacy commissioner’s guidance. TheStreet lists HIPAA compliance among the deal’s risks on the U.S. side. Grindr’s announcement does not spell out how clinical records will be kept apart from the app’s advertising and analytics.

What to watch before the deal closes

  • Updated privacy notices for Freddie patients, and whether health data can be linked to a Grindr profile.
  • The Dec. 30 deadline in the purchase agreement.
  • The 2027 targets behind the US$70 million earnout, which the 8-K doesn’t detail.

Then there is the 2028 goal. Ten million people is about 180 times the 55,000 patients Freddie has served in six years, even allowing that “connect” is a looser word than “treat.”
